SharpTender AI is an AI-powered tender management platform designed to help businesses and users discover, assess, prepare, manage, review and submit tender responses.
SharpTender AI is provided and operated by SaintClairAppl.
These Terms of Service ("Terms") govern your access to and use of the SharpTender AI mobile applications, websites, software, artificial intelligence features and related services (collectively, the "Service").
By creating an account, accessing or using SharpTender AI, you agree to these Terms.
If you do not agree to these Terms, you must not use the Service.
If you use SharpTender AI on behalf of a company, organisation or other entity, you represent that you have authority to accept these Terms on its behalf.
SharpTender AI provides tools intended to assist with tender and bid management activities.

Certain SharpTender AI features require an account.
You agree to provide accurate information and maintain the security of your account credentials.
You are responsible for activity performed through your account, except where that activity results from circumstances for which we are legally responsible.

You retain ownership of your User Content.
You grant us a limited right to host, store, transmit, process, analyse and otherwise handle User Content as reasonably necessary to provide, secure, maintain and improve the Service.
This does not transfer ownership of your User Content to us.
You represent that you have the necessary rights, permissions and authority to upload and process User Content through SharpTender AI.
You must not upload content that you are prohibited from possessing, disclosing or processing.
Tender documentation may contain confidential, commercially sensitive or proprietary information.
You are responsible for determining whether you are permitted to upload particular information to SharpTender AI.
Before uploading confidential tender documents or third-party information, you should consider any:

A compliance indicator, quality score, AI review, readiness indicator or similar feature does not constitute certification that your tender satisfies the buyer's requirements.
The issuing authority or buyer remains responsible for determining compliance and eligibility.
SharpTender AI does not guarantee:
Tender outcomes depend on numerous factors outside our control.
Any scores, assessments, recommendations, forecasts or AI-generated insights provided by SharpTender AI are informational and assistive only.
You remain solely responsible for your tender submissions.
Before submitting a tender, you should independently verify the complete submission package.
You are responsible for ensuring that:
SharpTender AI should not be treated as the official submission authority unless a specific feature expressly states otherwise.
A record stored in SharpTender AI does not necessarily prove that a buyer or procurement portal successfully received a submission.
SharpTender AI may display tender closing dates, deadlines, key dates, assignments and reminders.
You remain responsible for independently confirming all deadlines with the official tender documentation or issuing authority.
We do not guarantee that reminders, notifications or extracted dates will always be accurate, delivered or available.
You should not rely exclusively on SharpTender AI notifications to meet a tender deadline.
SharpTender AI provides software and AI-assisted information.
It does not provide legal, financial, accounting, procurement or other regulated professional advice.
AI explanations of contracts, tender conditions, compliance requirements or other documents should not be treated as legal advice.
Where appropriate, you should obtain advice from a suitably qualified professional.
You must not use SharpTender AI to:

If you purchase a SharpTender AI subscription through the Android application, the transaction is processed through Google Play.
Payments, renewals and subscription management are subject to the applicable Google Play terms and policies.
Prices and available subscription options are displayed before purchase.
Subscriptions may automatically renew unless cancelled in accordance with the applicable Google Play subscription settings and terms.
You can manage or cancel an Android subscription through your Google Play account.
Deleting the SharpTender AI application does not itself cancel a subscription.
SharpTender AI may offer free and paid functionality.
Features, usage allowances and subscription benefits may vary by plan and may change over time.
The features and pricing presented to you at the time of purchase will apply subject to applicable store terms and these Terms.
We may introduce, modify or discontinue features where reasonably necessary for product development, security, legal compliance or technical reasons.
You may cancel an Android subscription through Google Play.
Cancellation normally prevents future renewal but does not necessarily terminate access immediately. Access may continue until the end of the applicable paid subscription period, subject to Google Play's rules.
We cannot guarantee refunds for purchases processed by an app store.
Refund requests are handled according to applicable law and the policies of the platform through which the purchase was made.
SharpTender AI, including its software, interface, branding, design, underlying technology and original content provided by us, is owned by or licensed to SaintClairAppl and is protected by applicable intellectual property laws.
Except for the limited right to use the Service under these Terms, no ownership rights in SharpTender AI are transferred to you.
You may not copy, reproduce, distribute, sell or commercially exploit our proprietary software or materials except with our permission or as permitted by law.
As between you and us, we do not claim ownership merely because content was generated or enhanced for you using SharpTender AI.
Your rights in AI-generated or AI-assisted material may depend on applicable law and the circumstances in which the material was generated.
You are responsible for determining whether AI-assisted material is suitable for your intended use and whether third-party rights may apply.
We aim to provide a reliable Service, but SharpTender AI may occasionally be unavailable due to:

To the maximum extent permitted by applicable law, SaintClairAppl will not be liable for indirect, incidental, special or consequential losses arising from or relating to the use of SharpTender AI, including loss of opportunity, loss of anticipated profits or loss resulting from an unsuccessful tender, except where such liability cannot legally be excluded or limited.
You are responsible for maintaining appropriate review, approval, backup and submission procedures for your tender activities.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
To the extent permitted by law, you agree to indemnify SaintClairAppl against claims, losses or reasonable costs arising from your unlawful use of the Service, your material breach of these Terms, or User Content you upload without the necessary rights or authority.
This provision does not apply to the extent a claim or loss was caused by our own unlawful conduct, negligence or breach of applicable obligations.
We may update these Terms from time to time to reflect:
